Terms of Service

1. Agreement to Terms

These Terms apply to all users of the Rank Rhino Service. We may make changes to these Terms from time to time. The “Last Updated” date above indicates when these Terms were last changed. If we make material changes, we will provide notice, such as by sending an email or displaying a notice within the Rank Rhino Service. Unless we say otherwise, amended Terms are effective immediately, and your continued use of the Rank Rhino Service after notice confirms your acceptance of the changes.

2. The Rank Rhino Service

Rank Rhino is a software platform that runs automated SEO audits of websites, tracks scores over time, and generates AI-assisted action plans and reports based on the audit results. The Rank Rhino Service relies on automated crawling and third-party signals; it is an analytical and organizational tool and does not perform any changes to your website on your behalf.

3. Eligibility

The Rank Rhino Service is intended for users who are at least 18 years of age and capable of forming a binding contract. By creating an account or otherwise accessing the Rank Rhino Service, you represent and warrant that you meet these requirements. If you use the Rank Rhino Service on behalf of a business or other entity, you represent that you are authorized to accept these Terms on that entity’s behalf, and “you” will refer to both you and that entity.

4. Accounts

You must create an account to use most features of the Rank Rhino Service. You agree to provide accurate account information and to keep it current. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly if you suspect any unauthorized use of your account.

5. Subscriptions, Fees, and Billing

Certain features of the Rank Rhino Service require a paid subscription (a “Subscription Plan”). Subscription payments are processed by Stripe, Inc. By subscribing, you authorize us to charge your payment method on file for the applicable subscription fees on a recurring basis (typically monthly) until you cancel. Subscription Plans automatically renew at the end of each billing period unless cancelled beforehand through the Stripe Customer Portal, accessible from your account settings.

Fees are non-refundable except as required by law or as we expressly state at the time of purchase. We may change subscription pricing or plan features on a going-forward basis by providing notice before your next renewal; continued use of the Rank Rhino Service after a price change takes effect constitutes acceptance of the new pricing. If a payment cannot be processed, we may suspend access to paid features until payment is resolved.

6. Free Plan and Usage Limits

We offer a free plan with a limited number of SEO audits per month. Paid Subscription Plans unlock unlimited audits, exports, and AI-generated action plans, as described on our pricing page. We may change free-plan limits and features at any time.

7. Your Content and Audited Sites

You retain ownership of the website URLs, audit configurations, and other information you submit to the Rank Rhino Service (“Your Content”). You grant us a non-exclusive, worldwide, royalty-free license to access, crawl, store, and process the websites and data you submit solely as necessary to run audits, generate reports, and provide the Rank Rhino Service, including submitting relevant audit data to third-party AI models to generate action plans. You are solely responsible for Your Content and for the websites you submit for auditing.

8. Acceptable Use; Authorization to Audit

You represent and warrant that you own, operate, or have explicit authorization from the owner or operator to run automated SEO audits and crawls against any website URL you submit to the Rank Rhino Service. You agree not to: (a) submit websites you are not authorized to audit; (b) use the Rank Rhino Service to conduct denial-of-service attacks, excessive scraping, or other abusive crawling against third-party infrastructure; (c) attempt to access another user’s account or data without authorization; (d) upload viruses or malicious code; (e) reverse engineer, scrape, or interfere with the Rank Rhino Service or its infrastructure; or (f) resell or provide access to the Rank Rhino Service to third parties without our written consent.

9. No Guarantee of Rankings; AI Action Plans

Rank Rhino performs automated SEO audits and generates AI-assisted action plans and recommendations based on those audits. Search engine ranking algorithms are controlled by third parties, change frequently, and depend on many factors outside our control. We do not guarantee any specific search engine ranking, traffic increase, indexing outcome, or other SEO result from following any audit finding or AI-generated recommendation. Audit scores and recommendations are based on automated signals and heuristics and may not reflect actual search engine behavior for your site. You are solely responsible for evaluating and implementing any recommendation.

10. Intellectual Property; Limited License

The Rank Rhino Service, including its software, design, text, graphics, scoring methodology, and trademarks, is owned by Nulia.US Corp. or our licensors and is protected by intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Rank Rhino Service for your own business purposes. All rights not expressly granted are reserved.

11. Third-Party Services

The Rank Rhino Service relies on third-party providers, including artificial intelligence model providers used to generate action plans, Stripe for payment processing, PDF generation services for report exports, and email delivery providers. We do not control these third-party services and are not responsible for their availability, performance, or errors. Your use of any linked third-party service is subject to that provider’s own terms and privacy policy.

12. Feedback

If you send us feedback, suggestions, or ideas about the Rank Rhino Service, you agree that we may use and exploit that feedback for any purpose, commercial or otherwise, without any obligation or compensation to you.

13. Disclaimers

THE RANK RHINO SERVICE, INCLUDING ANY AUDIT SCORE OR AI-GENERATED ACTION PLAN, IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT ANY AUDIT RESULT OR RECOMMENDATION IS ACCURATE, COMPLETE, OR WILL IMPROVE YOUR SEARCH RANKINGS, OR THAT THE RANK RHINO SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE. YOU USE THE RANK RHINO SERVICE AT YOUR OWN RISK.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, NULIA.US CORP. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, TRAFFIC, OR SEARCH RANKING, ARISING FROM YOUR USE OF THE RANK RHINO SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE RANK RHINO SERVICE WILL NOT EXCEED THE GREATER OF (A) $100 OR (B) THE SUBSCRIPTION FEES YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW THESE LIMITATIONS, SO SOME OF THEM MAY NOT APPLY TO YOU.

15. Indemnification

You agree to indemnify, defend, and hold harmless Nulia.US Corp. and its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) your use of the Rank Rhino Service; (b) any website you submit for auditing without proper authorization; (c) your violation of these Terms; or (d) your violation of any rights of a third party.

16. Term and Termination

You may stop using the Rank Rhino Service and close your account at any time. We may suspend or terminate your access to the Rank Rhino Service, in whole or in part, at any time if we believe you have violated these Terms, with notice where practicable. Upon termination, your right to use the Rank Rhino Service ceases immediately. Sections of these Terms that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and indemnification) will survive.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Rank Rhino Service will be resolved through binding individual arbitration administered by the American Arbitration Association, except that either party may bring an individual action in small claims court. YOU AND NULIA. US CORP. EACH WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE PROCEEDING. You may opt out of this arbitration provision within 30 days of first accepting these Terms by emailing us through our contact page. To the extent any dispute is not subject to arbitration, the state and federal courts located in Laramie County, Wyoming will have exclusive jurisdiction, and you consent to venue there.

18. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will update the “Last Updated” date and, where appropriate, provide additional notice. Your continued use of the Rank Rhino Service after changes take effect constitutes your acceptance of the revised Terms.

19. Miscellaneous

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision will not be deemed a waiver of that right or provision. These Terms constitute the entire agreement between you and Nulia.US Corp. regarding the Rank Rhino Service and supersede any prior agreements. You may not assign these Terms without our prior written consent; we may assign these Terms without restriction. Communications and transactions between us may be conducted electronically.
